Terms of Service

These Terms of Service (“Terms”) govern your use of FOLIO and folio.market. By accessing the site, joining the waitlist, or creating an account, you agree to these Terms. If you do not agree, do not use the service. This is a pre-launch product and these Terms may change; they are not a substitute for advice from your own lawyer.
The service
FOLIO is a web application related to index-style “Folios,” markets, profiles, and related tools. Features may be incomplete, experimental, or unavailable. Pre-launch access (including waitlist membership) does not guarantee later access, token allocations, or any financial benefit.
Eligibility
You must be legally able to enter a binding agreement in your jurisdiction and meet any age requirements that apply. You are responsible for complying with laws that apply to you, including those that restrict access to crypto assets or tokenized securities.
Accounts
You may sign in with a supported provider (such as Google). You are responsible for activity under your account. Do not share access credentials. We may suspend or terminate accounts that abuse the service, violate these Terms, or create risk for other users or the platform.
Waitlist
Joining the waitlist means you ask us to store your email and contact you about FOLIO. It is not an offer of securities, an investment contract, or a promise of future access. You can ask to be removed by contacting us.
Wallets and on-chain activity
Connecting a wallet is optional for browsing. Transactions you approve are executed by your wallet on a blockchain network. We do not custody your keys. You are solely responsible for reviewing transaction details, gas costs, slippage, and smart-contract risk before confirming.
No advice; not a broker
FOLIO does not provide investment, legal, tax, or accounting advice. Nothing on the site is an offer to buy or sell any security or financial product. We are not your broker, dealer, investment adviser, or fiduciary. Read the Risk Disclosure before using any trading or fund features.
Acceptable use
You agree not to:
- Break the law or infringe others’ rights.
- Attempt to disrupt, scrape abusively, reverse engineer, or attack the service.
- Impersonate others or misrepresent affiliation with FOLIO.
- Use the product to launder money, finance illegal activity, or evade sanctions.
- Upload malware or content that is unlawful, harassing, or spam.
Content you post
If you post comments or other user content, you grant FOLIO a worldwide, non-exclusive license to host, display, and distribute that content as needed to operate the product. You represent that you have the rights to the content you post. We may remove content that violates these Terms.
Intellectual property
FOLIO branding, interface, and original materials are owned by us or our licensors. You may not copy or reuse them except as allowed by these Terms or with permission.
Third-party services
The product may depend on third parties (Google, wallet software, RPC providers, price data sources, blockchains). Their terms and privacy practices apply to their services. We are not responsible for third-party outages or decisions.
Disclaimers
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. We do not warrant that the site will be uninterrupted, error-free, or free of harmful components, or that market data or displays are accurate or complete.
Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, FOLIO AND ITS OPERATORS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST DATA, OR LOSS OF DIGITAL ASSETS, EVEN IF ADVISED OF THE POSSIBILITY. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF THE SERVICE WILL NOT EXCEED THE GREATER OF ONE HUNDRED U.S. DOLLARS (US$100) OR THE AMOUNT YOU PAID US FOR THE SERVICE IN THE TWELVE MONTHS BEFORE THE CLAIM (IF ANY).
Indemnity
You agree to indemnify and hold harmless FOLIO and its operators from claims arising out of your use of the service, your content, your on-chain transactions, or your violation of these Terms or applicable law.
Changes and termination
We may modify these Terms or the service at any time. Material changes will be reflected by updating the “Last updated” date (and, when appropriate, additional notice). We may discontinue features or the site. Provisions that should survive (including disclaimers and limitations) will survive termination.
Governing law
These Terms are governed by the laws of the State of Delaware, USA, excluding conflict-of-law rules, unless mandatory local law requires otherwise. Courts in Delaware will have exclusive jurisdiction for disputes that cannot be resolved informally, subject to applicable consumer protections in your jurisdiction.
